Cloudspire Voice — Cloud Communications Platform

1. Acceptance of Terms

By downloading, installing, or using the Cloudspire Voice application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms apply to the Cloudspire Voice mobile application for iOS and Android, the web-based portal, and all related services provided by onCloud, LLC ("Cloudspire," "we," "our," or "us").

2. Description of Service

Cloudspire Voice is a cloud-based business communications platform that provides Voice over Internet Protocol (VoIP) calling, SMS messaging, voicemail, call management, and related features. The App connects to your organization's Cloudspire Voice PBX system to enable business phone functionality on your mobile device.

Your Cloudspire Voice account is provisioned and managed by your organization's system administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify your administrator immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate access to the service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, our business partners, or us.

5. Emergency Calling Limitation

IMPORTANT: Cloudspire Voice does NOT support emergency calling (911/E911).

This application uses Voice over Internet Protocol (VoIP) technology to transmit calls over the internet. Emergency calls to 911, E911, or any other emergency services number cannot be placed through this application. You must use a traditional landline telephone, cellular telephone, or other means to contact emergency services.

By using this application, you acknowledge and agree that Cloudspire Voice is not a replacement for your primary telephone service and should not be relied upon for access to emergency services.

6. Call Recording and Monitoring

Your organization may enable call recording, call transcription, and quality monitoring features as part of its Cloudspire Voice configuration. These features are controlled by your organization's administrator and are subject to your organization's policies and applicable law. By using the service, you acknowledge that your calls and messages may be recorded, transcribed, or monitored in accordance with your organization's policies.

7. SMS Messaging

The App may provide SMS and MMS messaging capabilities through your organization's assigned telephone numbers. Standard messaging rates from your organization's telecommunications provider apply. Message delivery is subject to carrier network availability and is not guaranteed. You agree to comply with all applicable laws regarding SMS communications, including but not limited to the Telephone Consumer Protection Act (TCPA).

8. Intellectual Property

The App, including its design, features, content, and underlying technology, is owned by onCloud, LLC and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App solely for its intended business communications purpose. You may not copy, modify, distribute, sell, or lease any part of the App or its content.

9. Privacy

Your use of the service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App, you consent to the collection and use of information as described in the Privacy Policy.

10. Service Availability

We strive to maintain high availability of the service but do not guarantee uninterrupted or error-free operation. The service may be temporarily unavailable due to maintenance, updates, network issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions or outages.

Call quality depends on your internet connection speed, network conditions, and device capabilities. We do not guarantee specific call quality levels.

11. Third-Party Services

The App may integrate with third-party services, including but not limited to telecommunications carriers, AI transcription providers, and push notification services (Apple Push Notification service, Firebase Cloud Messaging). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the performance, availability, or content of third-party services.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONCLOUD, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; OR (D) ANY FAILURE TO REACH EMERGENCY SERVICES THROUGH THE APPLICATION.

14. Indemnification

You agree to indemnify, defend, and hold harmless onCloud, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the service or your violation of these Terms.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Effective date" at the top of this page. Your continued use of the App after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

16. Termination

Your organization's administrator may terminate your access to the service at any time. Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Fulton County, Georgia.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and onCloud, LLC regarding the use of the Cloudspire Voice application. These Terms do not alter the terms of any separate service agreement between your organization and onCloud, LLC.
